MPEGPlayer Soundtrack off

I used VLC Media Player to convert my video files, and the soundtrack is so off, I can't watch the video, any way to fix it?

Well, like when I watch a show or video, I click play, its starts off fine, but at about 3:00 mins, into it, the voice and sound is so off its unwatchable, here is the set up I am using in VLC Media Player.

-Encapsulation:
   -MPEG-PS

-Video Codec:
  -Codec: MPEG-2
  -Bitrate: 800 kb/s
  -Frame Rate: 0.00 fps
  -Resolution: Sansa Fuze V2(220x176)

-Audio Codec:
  -Codec: MP3
  -Bitrate: 320 kb/s
  -Channels: 2
  -Sample Rate: 44100

-Subtitles
  None

Do you think its because of the Bitrate under Audio Codec?
